General Terms and Conditions (except key.matique)

  1. These general terms and conditions (GTC) apply to product and services agreements with “matique UG (haftungsbeschränkt)”. Exception: These GTC do not apply to the service “key.matique”. (The GTC for key.matique are published on the website https://key.matique.de .)
  2. Disclosure: The General Terms and Conditions (GTC) are published on our website http://www.matique.de where you also find the changes made to the GTCs in the last two years. It is sufficient to notice the customers by e-mail for informing about changes on the GTC. The matique Company meets its duty to inform contract parties of GTC changes by apprising the parties of the changes by email.
  3. Offer Period: Our offers are valid for three months unless another offer period is stipulated. Unless agreed otherwise, our offers shall remain legally binding for three months.
  4. Prices: Our prices do not include the VAT.
  5. Performance Period: The period for the performance delivery is one (1) year unless agreed otherwise.
  6. Acceptance of Performance Delivery: The customer shall inspect the performed services within one (1) month after the performance delivery. We shall consider our performance as approved in case the matique company has not received defect reports in writing within one (1) months of the performance acceptance or in case the properly reported defects only pertain to minor defects, which do not impair the functionality. After the repair of significant defects, the customer or contract party shall approve the performance or report defects in writing within 14 days of the delivered repairs.
  7. Invoicing: We will invoice after the performance acceptance. In case the contractual performance has been processed via our issue tracking system track.matique, we will issue periodic invoices for each quarter.
  8. Payment Term: Invoices are payable within 30 days of the invoice date.
  9. Warranty: We correct bugs in the delivered software free of charge provided they significantly affect the software performance in the long run and provided the customer or contractual party has properly reported them at the performance acceptance or within six months after invoice provided the customer or contractual party documents all concomitant circumstances.
  10. Disclaimer: We are not liable for any damages resulting from the use of the delivered software or performed services. This does not apply to damages caused by gross negligence.
  11. Legal Venue: The legal venue is Kochel am See (Germany).
